Terms of Service

1. Agreement to Terms

By accessing or using any Tech-Stun product, service, or website, you agree to be bound by these Terms of Service. If you disagree, please discontinue use immediately.

2. Services

Tech-Stun provides software development services, SaaS products (including FraudWatch, Foundly, Lab Systems, and AgriSight), and related professional services. Specific service terms are governed by separate service agreements or product-specific terms where applicable.

3. Accounts & Access

• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised access
• We reserve the right to suspend accounts that violate these terms
• One account per person or organisation unless otherwise agreed

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorised access to any system or data
• Reverse-engineer, decompile, or disassemble our software
• Resell or sublicense our services without written permission
• Use our services to transmit spam, malware, or harmful content

5. Payment Terms

• SaaS subscriptions are billed monthly or annually in advance
• All prices are in Kenya Shillings (KES) unless otherwise stated
• Payments are non-refundable except as stated in our refund policy
• We reserve the right to suspend services for non-payment after 14 days
• Prices may be updated with 30 days notice

6. Intellectual Property

All Tech-Stun software, designs, trademarks, and content are our intellectual property. Custom software developed for clients becomes client property upon full payment as specified in the project agreement. We retain the right to use general knowledge and techniques gained during engagements.

7. Data & Privacy

Your use of our services is also governed by our Privacy Policy. For enterprise clients, a Data Processing Agreement (DPA) is available upon request.

8. Service Availability

We target 99.9% uptime for SaaS products but do not guarantee uninterrupted service. Planned maintenance will be communicated with at least 24 hours notice. We are not liable for downtime caused by third-party infrastructure providers.

9. Limitation of Liability

To the maximum extent permitted by Kenyan law, Tech-Stun shall not be liable for indirect, incidental, or consequential damages arising from use of our services. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Termination

Either party may terminate a subscription with 30 days written notice. We may terminate immediately for material breach, non-payment, or illegal use. Upon termination, you retain access to your data for 30 days before deletion.

11. Governing Law

These terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
